  1. Terms and Definitions<\/b><\/li><\/ol>

    1.1.<\/b> The use of software and services on the websites (hereinafter referred to as \u201cServices\u201d) owned by Magicmotorsport S.R.L. (hereafter Magicmotorsport) is subject to the following general conditions of use.<\/span><\/p>

    1.2.<\/b> Unless otherwise agreed in writing with Magicmotorsport, the User\u2019s contract with Magicmotorsport will be governed by the terms and conditions set forth herein. These are referred to below as \u201cUniversal Terms\u201d.<\/span><\/p>

    1.3.<\/b> The User\u2019s contract with Magicmotorsport may also be governed by additional terms and conditions established by Magicmotorsport in addition to the Universal Terms. All of these are referred to as the \u201cAdditional Terms\u201d. The Additional Terms may also be applied to a Service by accessing the same Service.<\/span><\/p>

    1.4.<\/b> The Universal Terms, together with the Additional Terms (hereinafter referred to as the \u201cTerms\u201d), form an integral part of a legally binding agreement between the User and Magicmotorsport relating to use of the Services.<\/span><\/p>

    1.5.<\/b> In the event of a contradiction between the Additional Terms and the Universal Terms, the Additional Terms will prevail with respect to the particular Service or Software.<\/span><\/p>

    1. Acceptance of Terms<\/b><\/li><\/ol>

      2.1.<\/b> To use the Services, the User must accept the Terms and Conditions.<\/span><\/p>

      2.2.<\/b> The User can accept the Terms:<\/span><\/p>

      a)<\/b> by clicking to accept the Terms of Service, where this option is made available in the User Interface by Magicmotorsport;<\/span><\/p>

      b)<\/b> by tacit acceptance through the use of the Services; in this case the User agrees that Magicmotorsport, its affiliates or partners, will consider such use as tacit acceptance of the Terms by the User.<\/span><\/p>

      2.3.<\/b> The User cannot use the Services and cannot accept the Terms if:<\/span><\/p>

      a)<\/b> they are not of legal age to enter into a legal contract with Magicmotorsport;<\/span><\/p>

      b)<\/b> they are prohibited from using the Services under the laws of Italy or in other countries, including the country in which they are a resident or from which they use the Services.<\/span><\/p>

      2.4.<\/b> The User declares to print or save a copy of the Terms.<\/span><\/p>

      1. Language of the Terms<\/b><\/li><\/ol>

        3.1.<\/b> The User declares to be aware that Magicmotorsport uses the Italian language for the drafting of the Terms. If Magicmotorsport has provided a translation of the Terms from the Italian version, the User agrees that in the event of any conflict between the translated version and the Italian language version, the latter will prevail.<\/span><\/p>

        1. Services provided by Magicmotorsport, its Affiliates or Partners<\/b><\/li><\/ol>

          4.1.<\/b> Magicmotorsport has subsidiaries and affiliates around the world (\u201cSubsidiaries and Affiliates\u201d) by virtue of commercial agreements. These subjects may provide Services on behalf of Magicmotorsport. The User acknowledges and agrees that Subsidiaries and Affiliates will have the right to provide the Services.<\/span><\/p>

          4.2.<\/b> Magicmotorsport is constantly evolving to offer the best possible experience to its users. The User acknowledges and accepts that the form and nature of the Services that Magicmotorsport provides may change without notice.<\/span><\/p>

          4.3.<\/b> The User acknowledges and accepts that Magicmotorsport may discontinue (permanently or temporarily) the provision of its Services (or any element within the Services) at its sole discretion, for good cause or for improper use. The User accepts that interruptions to access of the Services may also not be dependent on the will of Magicmotorsport and that, therefore, in no case will Magicmotorsport be held liable for damages, direct or indirect, dependent on such interruptions of the Services. The User can suspend, interrupt and\/or cease to use the Services at any time. There is no need to inform Magicmotorsport when the User decides to suspend, interrupt and\/or cease to use the Services, without prejudice to the contractual obligations assumed.<\/span><\/p>

          4.4. <\/b>The User acknowledges and accepts that Magicmotorsport reserves the right to disable access to their account or to the Service for serious reasons (by way of example but not limited to, due to arrears, insolvency, improper use of the Services, improper use of Accounts, etc.).<\/span><\/p>

          4.5.<\/b> The User acknowledges and accepts that Magicmotorsport has established the maximum limit of monthly coins in the number of 300 (three hundred) exclusively for the owners of MASTER Flex tools who can benefit from the coins. The maximum coin limit may be changed at any time and at Magicmotorsport\u2019s discretion.<\/span><\/p>

          4.6.<\/b> The User acknowledges and agrees that Magicmotorsport Products and Software are sold separately. The purchase of the hardware does not automatically entail the purchase of the software. When purchasing a Service, the User receives instructions for activating the product on the Helpdesk platform. The duration of the validity of the subscription is 365 days from the activation of the Service. The User of an expired account may continue working with the SW updates released prior to the expiration date but will no longer receive new SW releases except for bug fixes for the available protocols. If Magicmotorsport adds new functions to previously released protocols, this protocol is considered to be a new release and therefore will no longer be available to Users with an expired account. Any additions and\/or modifications to the original SW configuration do not have effect on the expiration of the subscription. In the event of payment for the renewal of the subscription service made after the deadline, Magicmotorsport will reactivate the subscription with effect from the day following the deadline.<\/span><\/p>

          4.7.<\/b> The User acknowledges and accepts the terms and conditions dictated by Magicmotorsport for the annual payment of the subscription. The annual fee must be paid to Magicmotorsport after one (1) year from the activation of a new Flex tool; the cost will vary according to the SW configuration of the instrument purchased; applicable prices may be consulted on the online shop.<\/span><\/p>

          4.8.<\/b> Magicmotorsport reserves the right to refuse requests of configuration modifications to Products and Software linked to an expired account.<\/span><\/p>

          4.9.<\/b> Magicmotorsport considers activated SW licenses and subscriptions to be confirmed purchases and therefore non refundable.<\/span><\/p>

          4.10.<\/b> The User acknowledges and accepts that some purchased services require a stable online connection and that in the event of an expired subscription they may not be available.<\/span><\/p>

          1. Use of the Services<\/b><\/li><\/ol>

            5.1.<\/b> To access certain Services, the User understands that information about a vehicle model \/ ECU (such as identification or other details) may be required for the registration process or for the continued use of the Services. The User confirms that any information given to Magicmotorsport will always be accurate and up-to-date.<\/span><\/p>

            5.2.<\/b> The User agrees to use the Services only for purposes permitted by (a) the Terms and (b) any applicable law or regulation or generally accepted practice or directive in the applicable jurisdictions (including laws relating to vehicles and the laws of the public road).<\/span><\/p>

            5.3.<\/b> The User agrees not to access (or attempt to access) any of the Services through any means other than through the interface provided by Magicmotorsport, unless specifically authorized to do so in a separate agreement with Magicmotorsport. The User expressly agrees not to access (or attempt to access) any of the Services by any automated means (including the use of \u201cscripts\u201d or \u201cweb crawlers\u201d) and agrees to ensure they will not share access to the services with third-party users.<\/span><\/p>

            5.4.<\/b> The User agrees not to engage in any works that could interfere with or interrupt the Services or the servers and networks that are connected to the Services.<\/span><\/p>

            5.5.<\/b> The User accepts and acknowledges that, unless specifically authorized in writing by Magicmotorsport, it is strictly forbidden to reproduce, duplicate, copy, sell, commercialize or resell the Services or the result of the Services for any purpose whatsoever.<\/span><\/p>

            5.6.<\/b> The User agrees that they are solely responsible for any violation of the Terms and for the related consequences, including any loss or damage that Magicmotorsport may suffer because of the above-mentioned violation. Magicmotorsport can never be held liable to the User or to any third party.<\/span><\/p>

            5.7.<\/b> If the Services require hardware repair by the specialized Magicmotorsport team of Magicmotorsport, the shipment of the products will be governed by the following conditions:<\/span><\/p>

            5.7.1.<\/b> All items entering Magicmotorsport will be shipped at the customer\u2019s\u00a0 expense. It is the customer\u2019s responsibility to ensure the shipment. Magicmotorsport is not responsible for incoming shipments.<\/span><\/p>

            5.7.2.<\/b> All incoming products will be inspected and, when possible, repaired by <\/span> Magicmotorsport highly qualified technicians. Shipping costs for return of the products <\/span> under warranty or for replacing the instrument under warranty will be borne exclusively by Magicmotorsport.<\/span><\/p>

            5.8.<\/b> Magicmotorsport is not responsible for the removal, installation, modification and use of mechanical, electronic and electrical parts of motor vehicles.<\/span><\/p>

            5.9. <\/b>In the event of theft or loss of the registered hardware, the User must purchase new hardware to continue using the Services and recover use of their Account.<\/span><\/p>

            1. Account Password and Security<\/b><\/li><\/ol>

              6.1. <\/b>The User acknowledges and agrees to be responsible for maintaining the secrecy of the passwords associated with any Magicmotorsport account they use to access the Services.<\/span><\/p>

              6.1.1.<\/b> The sharing of credentials with third parties is considered a duplication of the account itself and Magicmotorsport reserves the right to act as per point 4.3 of this document.<\/span><\/p>

              6.2.<\/b> The User agrees to be solely responsible to Magicmotorsport for any activities carried out under their account.<\/span><\/p>

              6.2.1.<\/b> The User agrees to be the sole owner of the equipment and the associated account. In the event of transfer of ownership of the equipment and\/or account, the old owner assumes the responsibility of communicating the sale of the equipment at sales@magicmotorsport.com. In order to guarantee the protection of Privacy in compliance with European Regulation 679\/2016 (GDPR), the account cannot be transferred, therefore the buyer must create a new account in the Helpdesk and accept the terms and conditions for the transfer of the products\/services in the current configuration.<\/span><\/p>

              6.3.<\/b> If the User becomes aware of any unauthorized use of their password and\/or account, or in the event of theft or loss, they must promptly notify Magicmotorsport at: sales@magicmotorsport.com. In the event of declaration of theft, the User must also attach a copy of the police report and will have the right to repurchase only the hardware and recover use of the software in their account.<\/span><\/p>

              1. Privacy Policy and User Personal Data<\/b><\/li><\/ol>

                7.1.<\/b> For information on Magicmotorsport\u2019s data protection policies, please read the Magicmotorsport Privacy Policy at https:\/\/www.magicmotorsport.com\/en\/privacy-policy\/. This document illustrates how Magicmotorsport processes personal information and protects User privacy during use of the Services, in compliance with European Regulation 679\/2016 (GDPR).<\/span><\/p>

                7.2.<\/b> The User consents to the use of their data in accordance with Magicmotorsport\u2019s Privacy Policy.<\/span><\/p>

                \u00a0<\/span><\/p>

                1. Content of the Services<\/b><\/li><\/ol>

                  8.1.<\/b> The User acknowledges that all information (such as data files, written texts, computer software, photographs, videos or other images), hereinafter also \u201cContent\u201d, accessible through the use of the Services are the sole responsibility of the person who created the content.<\/span><\/p>

                  8.2.<\/b> The User must not modify, rent, lease, loan, sell, distribute or create derivative works based on this Content (whether in whole or in part) unless specifically permitted by Magicmotorsport, or the owners of the Content, in a separate agreement.<\/span><\/p>

                  8.3.<\/b> Magicmotorsport reserves the right (but not the obligation) to preview, review, flag, filter, edit, refuse, or remove all or any portion of Content from any Service.<\/span><\/p>

                  8.4.<\/b> The User agrees to use the Services at their own risk and responsibility.<\/span><\/p>

                  8.5. <\/b>The User agrees to be solely responsible for any Content created while using the Services and for the consequences of their actions (including any loss or damage that Magicmotorsport may endure). Magicmotorsport can never be held liable to the User or to any third party.<\/span><\/p>

                  1. Property Rights<\/b><\/li><\/ol>

                    9.1.<\/b> The User acknowledges and agrees that Magicmotorsport (or Magicmotorsport\u2019s partners) owns all legal rights, titles and interests relating to the Services, including any intellectual property rights in the Services (whether such rights have been registered in Italy or in any other part of the world or not) and trademarks. The User further acknowledges that the Services may contain information which is classified as confidential by Magicmotorsport and that they cannot disclose such information without the prior written consent of Magicmotorsport.<\/span><\/p>

                    9.2.<\/b> Unless otherwise agreed in writing with Magicmotorsport, the User may not use any of Magicmotorsport\u2019s associated trade names, trademarks, logos, domain names and\/or other representations of Magicmotorsport or associated trademarks, even merely for descriptive purposes.<\/span><\/p>

                    9.3.<\/b> The Terms also do not grant the User the right to use trademarks or any other intellectual property right \u2013 even for descriptive purposes \u2013 owned or belonging to third parties. If the User has been expressly granted the right to use any of Magicmotorsport\u2019s associated trade names, trademarks, logos, domain names and\/or other representations of Magicmotorsport or associated trademarks under a separate written agreement with Magicmotorsport, they agree that the use shall occur in accordance with this agreement and with the Terms set forth herein and with the usage guidelines established by Magicmotorsport.<\/span><\/p>

                    9.4.<\/b> Other than the limited license in art. 11, Magicmotorsport acknowledges and agrees that it obtains no right, title or interest from the User (or others), under these Terms, to any Content submitted through the Services, including any intellectual property right on a given Content. Unless otherwise agreed in writing with Magicmotorsport, the User agrees that they are responsible for the protection and enforcement of those rights and that Magicmotorsport has no obligation to do so on their behalf.<\/span><\/p>

                    9.5.<\/b> The User agrees not to remove, obscure, or alter any proprietary information (including copyright and trademarks) that may be posted or contained in the Services.<\/span><\/p>

                    9.6.<\/b> Unless expressly authorized in writing by Magicmotorsport, the User agrees that while using the Services, they will not use any trademark, trade name, logo of any company or organization in a manner that is likely or intended to cause confusion as to the owner or to any authorized user.<\/span><\/p>

                    \u00a0<\/span><\/p>

                    1. User License<\/b><\/li><\/ol>

                      10.1.<\/b> Magicmotorsport grants the User a personal, non-sublicensable and non-exclusive license to use the software owned by Magicmotorsport as part of the Magicmotorsport Services (hereinafter \u201cSoftware\u201d). This license is for the sole purpose of enabling the User to use and enjoy the Services as intended by Magicmotorsport.<\/span><\/p>

                      10.2.<\/b> The User may not, either for themselves or for others, copy, modify, create a derivative work, reverse engineer, decompile or otherwise attempt to extract the source code of the Software or any part thereof, unless this is expressly permitted or required by law, or if permission has been specifically granted in writing by Magicmotorsport.<\/span><\/p>

                      10.3.<\/b> Unless Magicmotorsport has given the User specific written permission to do so, they may not assign (or sub-license) their rights to use the Software, or transfer any portion of their rights to use the Software to third parties.<\/span><\/p>

                      1. Content of the License<\/b><\/li><\/ol>

                        11.1.<\/b> The User who owns the copyright and any other right to their Content transferred or communicated via the Services, grants Magicmotorsport a perpetual, irrevocable, free and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly display and distribute the same Content. This license is for the sole purpose of allowing Magicmotorsport to display, distribute and\/or promote the Services.<\/span><\/p>

                        11.2.<\/b> The User agrees that Magicmotorsport, in carrying out the technical procedures required to provide the Services to its users, may (a) transmit or distribute its Content over various public networks and by various means; and (b) make changes to the Content as necessary to conform and adapt that Content to the technical requirements of the networks, devices, services or media.<\/span><\/p>

                        11.3.<\/b> The User confirms and warrants to Magicmotorsport that they have all rights, power and authority necessary to grant the aforementioned license.<\/span><\/p>

                        1. Software Updates<\/b><\/li><\/ol>

                          12.1.<\/b> The Software automatically downloads and installs updates released by Magicmotorsport. These updates are designed to improve, enhance and further develop the Services and may be in the form of bug fixes, enhanced features, new software modules or completely new versions. The User agrees to receive these updates (and authorize Magicmotorsport to provide them) as part of their use of the Services.<\/span><\/p>

                          \u00a0<\/span><\/p>

                          1. Termination of Relationship with Magicmotorsport, its Affiliates, or Partners<\/b><\/li><\/ol>

                            13.1.<\/b> The Terms will continue to apply until the contract is terminated.<\/span><\/p>

                            13.2.<\/b> Magicmotorsport may terminate the User Agreement at any time if:<\/span><\/p>

                            13.2.1.<\/b> the User violates a provision of the Terms (or have acted in a manner that clearly shows that they are unwilling or unable to comply with any provision of the Terms);<\/span><\/p>

                            13.2.2.<\/b> Magicmotorsport is required to do so by law (in the case where the provision of the Services to the User is or becomes illegal);<\/span><\/p>

                            13.2.3.<\/b> the Partner through whom Magicmotorsport has offered the Services has terminated their relationship with Magicmotorsport or has ceased to offer the Services to it;<\/span><\/p>

                            13.2.4.<\/b> the provision of the Services to the User by Magicmotorsport is evaluated, at the sole discretion of Magicmotorsport, no longer commercially viable.<\/span><\/p>

                            13.3.<\/b> This Article will not affect Magicmotorsport\u2019s rights to provide Services under Article 4 of the Terms.<\/span><\/p>

                            \u00a0<\/span><\/p>

                            1. Warranty<\/b><\/li><\/ol>

                              Legal Warranty<\/b><\/p>

                              Each and every native Flex product by Magicmotorsport has been designed and built to the highest standards of quality, ISO 9001. Magicmotorsport hereby extends to each End User who purchases a native Flex Product or Service from an authorized Magicmotorsport distributor the following warranty:<\/span><\/p>

                              14.1.<\/b> The Products and Services have a legal warranty beginning at the activation of the Product\/Service, without prejudice to the causes of exclusion provided for by current regulations.<\/span><\/p>

                              14.2.<\/b> The User expressly acknowledges and agrees that the use of the Product\/Services takes place under their sole responsibility and at their own risk and that they are provided \u201cas is\u201d and \u201cas available\u201d.<\/span><\/p>

                              14.3.<\/b> Magicmotorsport and its partners do not guarantee that:<\/span><\/p>

                              14.3.1.<\/b> the use of the Services will meet the User\u2019s expectations;<\/span><\/p>

                              14.3.2.<\/b> the use of the Services will be uninterrupted, timely, and error-free;<\/span><\/p>

                              14.3.3.<\/b> any information obtained as a result of using the Services will meet <\/span>expectations;<\/span><\/p>

                              14.3.4.<\/b> that the operation or functionality of any software provided as part of the<\/span><\/p>

                              Services are error-free.<\/span><\/p>

                              14.4.<\/b> Any files downloaded or otherwise obtained through the use of the Services are used at the User\u2019s own discretion and risk, and the User will be solely responsible for any damages or loss of data resulting from the download of any such material.<\/span><\/p>

                              14.5.<\/b> No oral or written advice, suggestion, direction or information obtained from Magicmotorsport or through the Services will create a warranty other than that expressly stated in the terms.<\/span><\/p>

                              14.6.<\/b> The guarantee of the Magicmotorsport Services applies only to Users who have purchased a Magicmotorsport product and\/or service and not to third parties who may have directly or indirectly received services from or through Magicmotorsport products or services.<\/span><\/p>

                              14.7.<\/b> All files downloaded or otherwise obtained through the use of the Services that have been delivered by means of a resolved Helpdesk ticket will be deemed to be accepted after fifteen (15) days.<\/span><\/p>

                              14.8.<\/b> All Magicmotorsport products cannot be tampered with; otherwise the warranty will be considered invalid. This warranty is void if the warranty seal on the product has been damaged or tampered with.<\/span><\/p>

                              Limited Lifetime Warranty Extension<\/b><\/p>

                              Magicmotorsport Flex brand Products carry a Limited Lifetime Warranty with Replacement Service (repair or replacement of the interfaces) for as long as the Original Owner owns the product and maintains an active mms.care account with Magicmotorsport at all times.<\/span><\/p>

                              14.9.<\/b> Expiration of the aforementioned account for more than seven (7) days will void the Limited Lifetime Warranty with Replacement Service. The warranty is valid from the date of registration, is offered to the original owner and is transferable to any new owners, who, in order to benefit from the Warranty, must continue to pay the subscription. In case of renewal after account expiration, the subscription will be considered active from the first activation date.<\/span><\/p>

                              14.10.<\/b> Magicmotorsport Flex branded products without a mms.care account, or which have changed owners, have a warranty of twenty-four (24) months from the date of purchase from Magicmotorsport or another authorized Magicmotorsport dealer.<\/span><\/p>

                              14.11.<\/b> In the case of discontinued products, the duration of the Magicmotorsport warranty on Flex products is limited to twenty-four (24) months from the date of notification of discontinuation of such products.<\/span><\/p>

                              14.12.<\/b> Magicmotorsport warrants that each Flex branded hardware product by Magicmotorsport will be free from defects in materials and workmanship.<\/span><\/p>

                              14.13.<\/b> In any case, all products not explicitly manufactured by Magicmotorsport are excluded from the terms of our manufacturer’s warranty conditions.<\/span><\/p>

                              14.14.<\/b> If Flex products sold under the terms of this agreement are not covered by the warranty, Magicmotorsport reserves the right, at its discretion and at different times, to repair or replace the product. However, within the warranty period granted, Magicmotorsport must receive proof of purchase and a written communication of non-conformity.<\/span><\/p>

                              Limitations of the Lifetime Warranty<\/b><\/p>

                              14.17.<\/b> The warranty in this certificate does not extend to or apply to products that have been repaired or altered by anyone other than our authorized Magicmotorsport personnel. Furthermore, it does not apply to products that are defective or damaged during shipping. This also applies to handling, storage, operation, use and maintenance carried out in a manner or in an environment that does not comply with the instructions and\/or indications provided by Magicmotorsport. This includes misuse, abuse, accident, negligence or mistreatment, incorrect installation and\/or configuration, natural disasters, physical damage, electrical problems or improper modifications.<\/span><\/p>

                              14.18.<\/b> Batteries\/accumulators, moving parts and defects caused by these factors are also excluded from the warranty.<\/span><\/p>

                              14.19.<\/b> Cables, connectors and other accessories that are subject to normal wear and tear are excluded from this warranty.<\/span><\/p>

                              14.20.<\/b> Also excluded from this warranty are damages caused by the use of components, consumables, software and interfacing not supplied or approved by Magicmotorsport.<\/span><\/p>

                              14.21.<\/b> The sole and exclusive claim for coverage under the Magicmotorsport warranty will be for the repair or replacement of defective components as mentioned above.<\/span><\/p>

                              14.22.<\/b> Magicmotorsport is in no event liable for death, personal injury or property damage, or for incidental, contingent, special or consequential damages arising from the use of our product.<\/span><\/p>

                              Making a Warranty Claim<\/b><\/p>

                              14.23.<\/b> The User must contact Magicmotorsport as soon as the defect occurs, by submitting the warranty claim via the mms.care system and submitting a Repair Request Ticket. Users who do not have an mms.care account can contact Magicmotorsport via the chat at <\/span>www.magicmotorsport.com<\/span><\/a>;<\/span><\/p>

                              14.24.<\/b> The User must send Magicmotorsport a copy of the original proof of purchase, a written description of the defect (including sample images and any other relevant material) and the serial numbers of the Flex product. The User will then receive instructions on how to proceed with the warranty claim;<\/span><\/p>

                              14.25.<\/b> Magicmotorsport does not cover inbound freight charges. The User shall bear the costs of packaging, customs and insurance for the transit of the Flex product to Magicmotorsport. Magicmotorsport shall bear the costs for the return shipment of the product to the User;<\/span><\/p>

                              14.26.<\/b> Shipments of products made to Italy from a country outside the EU must be accompanied by a Proforma invoice for customs purposes. If the User must ship a product from a non-European country, they must contact our customer service who will assist them with the Time Import procedure. Before shipping, it will be necessary to obtain official approval from Magicmotorsport regarding the aforementioned documentation. The User may send the product for repairs only after notification of approval of the Proforma invoice and\/or the documentation necessary for the transit of the goods.<\/span><\/p>

                              14.27.<\/b> The User is responsible for the correct compilation of the customs documentation and customs declarations made to the competent authorities. Failure to comply with these instructions may generate customs costs and\/or additional shipping costs which will subsequently be charged to the User.<\/span><\/p>

                              14.28.<\/b> Furthermore, Magicmotorsport reserves the right to recover any sums incurred by it for losses, damages, delays, customs actions or any other extraordinary expenses caused by failure to comply with these instructions.<\/span><\/p>

                              14.29.<\/b> Shipments not in compliance with these instructions will not be received by Magicmotorsport and will be returned to the sender, who will be responsible for any costs, fines or VAT charges.<\/span><\/p>

                              14.30.<\/b> If the warranty claim is accepted, Magicmotorsport will, at its own expense:<\/span><\/p>

                              14.30.1.<\/b> repair, replace defective parts or rectify any defective workmanship within five (5) days from the date of receipt of the product; and return the Flex product to the User in accordance with the methods mentioned.<\/span><\/p>

                              Disclaimer of Warranty<\/b><\/p>

                              14.31.<\/b> This warranty supersedes and cancels all prior warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.<\/span><\/p>

                              14.32.<\/b> The information contained in this warranty is subject to change without notice. The Italian version of the warranty will prevail over all other languages.<\/span><\/p>

                              14.33.<\/b> This warranty is valid for all Flex branded Products by Magicmotorsport sold after 19\/05\/2025.<\/span><\/p>

                              1. Disclaimer<\/b><\/li><\/ol>

                                15.1.<\/b> The User expressly acknowledges and agrees that Magicmotorsport, its subsidiaries and affiliates, and its partners, and their respective directors, officers, employees, contractors and agents, will not be liable for:<\/span><\/p>

                                15.1.1.<\/b> Direct, indirect, accidental, consequential damages that may be caused to the User or by the User, whatever the cause or liability. This includes, but is not limited to:<\/span><\/p>

                                • any loss of profits (whether directly or indirectly)<\/span><\/li>
                                • any loss of goodwill or reputation<\/span><\/li>
                                • any loss of data endured<\/span><\/li>
                                • any cost of acquiring substitute goods and services<\/span><\/li>
                                • any other losses tangible or intangible or patrimonial;<\/span><\/li><\/ul>

                                  15.1.2.<\/b> Losses or damages that may be incurred by the User as a result of:<\/span><\/p>

                                  15.1.2.1.<\/b> Any reliance placed by the User on the completeness, accuracy or existence of any advertisement, or as a result of any relationship or transaction between them <\/span> and any advertiser or sponsor whose endorsement appears in the Services;<\/span><\/p>

                                  15.1.2.2.<\/b> Any changes that Magicmotorsport may make to the Services, or for any <\/span> permanent and\/or temporary cessation in the provision of the Services (or any part of <\/span> the Services);<\/span><\/p>

                                  15.1.2.3.<\/b> Deletion, corruption, or damage to any Content or other communication of <\/span> data maintained or transmitted by or through the use of the Services;<\/span><\/p>

                                  15.1.2.4.<\/b> failure to provide the User with accurate Magicmotorsport account information;<\/span><\/p>

                                  15.1.2.5.<\/b> The User\u2019s failure to keep their password or account details secure and confidential.<\/span><\/p>

                                  15.2.<\/b> The limitations on Magicmotorsport\u2019s liability to the User in paragraph 15.1 above <\/span> apply whether or not Magicmotorsport has been made aware of these losses.<\/span><\/p>

                                  15.3.<\/b> If, despite the limitations indicated above, Magicmotorsport is liable to the User in <\/span> respect of the Services, this liability may not exceed the value of the fees paid to <\/span> Magicmotorsport for the use of the Services by the User.<\/span><\/p>

                                        18.2.<\/b> The User acknowledges and agrees that Magicmotorsport is not responsible for the availability, functionality and\/or content of any site and\/or external resource, and does not endorse any advertising, product and\/or other material present or available on such sites or resources.<\/span><\/p>

                                        18.3.<\/b> The User acknowledges and agrees that Magicmotorsport is not responsible for any loss or damage they may suffer as a result of the availability of those external sites or resources, or as a result of any reliance they place on the completeness, accuracy or existence of any advertising, product or other material on, or available through, such sites or resources.<\/span><\/p>

                                        1. Changes to the Terms<\/b><\/li><\/ol>

                                          19.1. <\/b>Magicmotorsport may change the Universal Terms or the Additional Terms from time to time. Any new version of the Additional Terms will be made available to the User in, or through, the Services.<\/span><\/p>

                                          19.2.<\/b> The User acknowledges and agrees that if they use the Services after the date on which the Universal Terms or Additional Terms have been changed, Magicmotorsport will consider this use a tacit acceptance of the updated Universal Terms or Additional Terms.<\/span><\/p>

                                          1. General Information<\/b><\/li><\/ol>

                                            20.1. <\/b>The User, during use of the Services, could (as a result of, or through their use of the Services) use a service or download a piece of software, or purchase goods, which are provided by another person or third party. Use of these other services, software or goods may be subject to separate terms between the User and the relevant company or third party. If so, the Terms do not apply to the legal relationship between the User and these other companies or third parties.<\/span><\/p>

                                            20.2.<\/b> The Terms constitute the entire legal agreement between the User and Magicmotorsport and govern the use of the Services (but exclude any services which Magicmotorsport may provide by separate written document) and completely replace any prior agreements between the User and Magicmotorsport in relation to Services.<\/span><\/p>

                                            20.3.<\/b> The User accepts that Magicmotorsport may provide them with communications, including those relating to changes to the Terms, by email, ordinary mail, or messages in the Services, or promotional and advertising messages.<\/span><\/p>

                                            20.4.<\/b> The User agrees that if Magicmotorsport fails to exercise or enforce any legal right or remedy which is contained in the Terms (or from which Magicmotorsport benefits under any applicable law), this will not be deemed as a formal waiver of Magicmotorsport\u2019s rights and that those rights and\/or remedies will still be available to Magicmotorsport.<\/span><\/p>

                                            20.5.<\/b> In the event of invalidity, also \u2013 but not only \u2013 as a result of a judicial ruling, of one or more provisions of the Terms, this provision will be removed from the Terms without affecting the validity of the remaining Terms which will continue to be valid and effective.<\/span><\/p>

                                            20.6.<\/b> The User\u2019s relationship with Magicmotorsport for anything not expressly provided for in the Terms is governed by the laws in force in Italy. The User and Magicmotorsport agree to submit to the exclusive jurisdiction of the court of Palermo (IT).
